Terms of Service

1. Acceptance

By creating an account or using Anchor Governance (the "Service"), you agree to these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.

2. Pilot & U.S. availability

Anchor Governance is currently being piloted with a limited number of healthcare organizations in the United States. The Service is offered solely to organizations and users located in the United States, and is not intended for use in jurisdictions where such offering would be prohibited. During the pilot, features, availability, and pricing may change with reasonable notice.

3. Use of the Service

You may use the Service only for lawful purposes and in accordance with these Terms. You are responsible for the content you submit, for managing user access within your organization, and for the activity of users under your account.

4. Subscriptions and fees

Paid plans are billed in advance in U.S. dollars. Fees are non-refundable except where required by law. We may change pricing on renewal with prior written notice. Pilot customers operate under the terms of a separate pilot order or letter, which controls in the event of conflict with this section.

5. Customer content

You retain ownership of content you submit ("Customer Content"). You grant Anchor a limited, non-exclusive, worldwide license to host, process, and display Customer Content solely to operate, secure, and improve the Service for you. We do not use Customer Content to train third-party AI models.

6. Acceptable use & PHI

Do not upload protected health information (PHI) unless a signed Business Associate Agreement (BAA) is in place between you and Anchor. Do not attempt to interfere with, disrupt, or reverse-engineer the Service; introduce malicious code; or use the Service to violate any law or third-party rights.

7. Privacy & security

Our handling of personal information is described in our Privacy Policy. We maintain industry-standard administrative, technical, and physical safeguards appropriate to the Service.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Anchor is a decision-support tool and does not provide clinical, legal, regulatory, or financial advice; you remain responsible for all decisions made using the Service.

9. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, or data. Anchor's aggregate liability for any claim arising out of or relating to these Terms is limited to the amounts paid by you to Anchor in the twelve (12) months preceding the event giving rise to the claim, or US$100 if no fees have been paid.

10. Indemnification

You will defend and indemnify Anchor against third-party claims arising from your Customer Content, your use of the Service in violation of these Terms or applicable law, or your breach of Section 6 (Acceptable use & PHI).

11. Termination

Either party may terminate for material breach with thirty (30) days' written notice and an opportunity to cure. Upon termination, your right to access the Service ends, and we will delete Customer Content within 30 days unless a longer period is agreed in writing.

12. Governing law & venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and each party consents to personal jurisdiction in those courts.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with a revised "Last updated" date and, where appropriate, communicated to account administrators by email. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
